1. Agreement to Terms

Refectline (Pvt) Ltd ("we", "our", or "us") is an IT company that provides mobile application development, software development, web development, and digital marketing services to meet our clients' requirements. By using our website at www.refectline.com or by engaging us for any project or service, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

2. Our Services

We provide the following services, tailored to client requirements:

  • Mobile application development: Design and development of mobile applications for iOS, Android, or cross-platform.
  • Software development: Custom software, enterprise solutions, and business applications.
  • Web development: Websites, web applications, and related digital products.
  • Digital marketing: Marketing strategy, content, campaigns, and related services.

The scope, deliverables, timeline, and fees for each project will be agreed in a separate proposal, statement of work, or contract. These Terms apply to all such engagements unless otherwise agreed in writing.

3. Client Obligations

You agree to provide us with accurate information, timely feedback, and any materials or access (e.g. branding, content, accounts, APIs) reasonably required for us to deliver the services. Delays in providing such information or materials may affect timelines and delivery. You are responsible for ensuring that you have the right to provide any content or data you give us and that it does not infringe any third-party rights.

4. Intellectual Property and Deliverables

Unless otherwise agreed in writing, ownership of deliverables (e.g. source code, designs, content we create for you) will transfer to you upon full payment for the relevant work. We retain the right to use general skills, knowledge, and non-client-specific tools and methods. Any pre-existing materials or third-party components remain subject to their respective rights; we will inform you of any applicable licences where relevant.

5. Fees and Payment

Fees, payment schedule, and payment terms will be set out in the proposal or contract for each project. You agree to pay all amounts due by the agreed dates. We may suspend work or withhold deliverables if payment is overdue. Unless otherwise stated, fees are exclusive of applicable taxes, which you are responsible for where required by law.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other in connection with the services, and to use it only for the purpose of performing or receiving the services. This obligation survives termination of the engagement. Confidentiality does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any claim arising out of or in connection with our services or these Terms shall not exceed the fees paid by you for the specific project or service giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8. Warranty and Support

We will perform the services with reasonable skill and care. Any specific warranty or support period for deliverables will be set out in the project agreement. After delivery, support and maintenance may be provided under a separate agreement if agreed between the parties.

9. Termination

Either party may terminate an engagement in accordance with the terms of the relevant project agreement. On termination, you agree to pay for all work completed and any non-cancellable costs incurred up to the date of termination. Sections of these Terms that by their nature should survive (e.g. confidentiality, limitation of liability, intellectual property) will remain in effect after termination.

10. Changes to These Terms

We may update these Terms and Conditions from time to time. We will post the updated terms on this page and update the "Last updated" date. For ongoing projects, the terms in effect at the start of the project apply unless we agree otherwise. Continued use of our website or services after changes constitutes acceptance of the updated terms.
